Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Nervato platform ("Nervato" or "Service"), operated by Stroik Ops LLC ("Company," "we," "our"). Nervato is a product of Stroik Ops LLC. By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

Nervato is an AI-powered business management platform operated by Stroik Ops LLC. The Service provides eight specialized AI agents — Marketing, Business Consultant, Reputation Management, Operations, Website Management, Bookkeeping, Executive Assistant, and HR — that help small businesses automate and optimize their daily operations, including social media content generation, financial tracking, staff management, customer engagement, competitive analysis, and more. The agents may exchange signals with one another internally to coordinate work on your behalf (for example, the Executive Assistant may forward review-notification emails to the Reputation agent). All inter-agent coordination occurs within your organization's account; data is not shared across customer organizations without your explicit consent.

2. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials. You must be at least 18 years of age to use this Service. Each account is associated with a business organization, and you represent that you have authority to bind that organization to these Terms.

3. Subscription & Payment

Access to the Service requires a paid subscription. Subscriptions are billed monthly through our payment processor, Stripe. Prices are listed on our platform and may be updated with 30 days notice. You authorize us to charge your payment method on a recurring basis. You may cancel your subscription at any time through the Billing page; cancellation takes effect at the end of the current billing period.

4. AI-Generated Content

The Service uses artificial intelligence to generate text, images, and video content, draft responses to reviews and messages, summarize emails, categorize transactions, and produce other automated outputs (collectively, "AI Outputs"). AI Outputs are generated by probabilistic models and may be inaccurate, incomplete, biased, out-of-date, or otherwise unsuitable for a given purpose. You are solely responsible for the AI Outputs your account generates, approves, or publishes — whether you review them manually or rely on the auto-publish settings described in Section 5. Stroik Ops LLC does not warrant the accuracy, suitability, or fitness for any particular purpose of any AI Output.

5. Auto-Publish & Automated Actions

The Service provides per-agent settings that allow you to authorize the agents to take certain actions automatically without case-by-case review. These include, without limitation: publishing scheduled social media posts, posting calendar updates and event listings, sending automated review responses, sending automated email replies, sending newsletter and campaign sends, drafting and dispatching customer communications, posting hiring announcements, and other actions you may enable from time to time (collectively, "Automated Actions").

By enabling any Automated Action setting (for example, selecting "auto-post" in the Marketing agent or enabling auto-respond for a particular review-rating in the Reputation agent), you grant the Service standing authorization to publish, send, post, or otherwise execute matching AI Outputs on your behalf, and you acknowledge and agree that:

(a) you have pre-approved any AI Output that fits the rules you have configured, and the Service may publish or send such AI Outputs without further review;

(b) you remain solely responsible for all AI Outputs published or sent under your Automated Action settings, including their accuracy, legality, tone, regulatory compliance, and effect on third parties;

(c) AI categorization and rule-matching are not perfect; the Service may occasionally publish or send AI Outputs that you would not have approved on individual review, and you accept that risk in exchange for the convenience of automation;

(d) you will review your Automated Action settings regularly — we recommend at least quarterly — and immediately disable or adjust any setting that no longer reflects your intent;

(e) the Service may, but is not obligated to, hold for manual review any AI Output that triggers a guardrail (such as reviews mentioning safety or harm in the Reputation agent); guardrails are provided as a courtesy and do not transfer responsibility for AI Outputs to Stroik Ops LLC; and

(f) you may disable any Automated Action at any time through the relevant agent settings page, and such change will take effect prospectively.

6. Industry-Specific Disclaimers

You acknowledge that the Service is a general-purpose business automation platform and is not designed, certified, or warranted for any of the following uses. If your business operates in any of the categories below, you accept additional responsibility as described:

(a) Legal services and other regulated professions. AI Outputs do not constitute legal advice, accounting advice, financial advice, real estate advice, or any other form of professional advice subject to licensure. Nothing the agents produce is a substitute for the judgment of a licensed professional. You are responsible for compliance with all applicable rules of professional conduct, including (where relevant) state bar rules on attorney advertising, real estate commission rules on listing content, and similar regulations.

(b) Healthcare and medical services. AI Outputs do not constitute medical advice, diagnosis, treatment recommendations, or clinical decision support. You may not use the Service to make or assist with patient-care decisions, to communicate clinical information directly to patients, or to issue any health claim regulated by the FDA, FTC, or other authority. You are solely responsible for HIPAA compliance and for the appropriate review of any patient-facing communication.

(c) Safety-critical operations. AI Outputs are not certified for use in safety-critical contexts, including but not limited to OSHA compliance certification, food-safety regulatory submissions, construction-site safety procedures, or any context in which inaccuracy could foreseeably result in physical injury, illness, or property damage. Where the Service surfaces operational checklists, equipment maintenance reminders, or compliance deadlines, those are convenience reminders and do not substitute for your independent verification.

(d) Financial, tax, and HR matters. The Bookkeeping agent provides categorization and reporting tools and does not provide tax advice, audit services, or investment advice. The HR agent provides operational tooling and does not provide legal employment advice. You are responsible for engaging qualified CPAs, employment counsel, or other licensed professionals as your business requires.

If you operate in any category covered by this Section 6, you agree to apply heightened review to AI Outputs before approval or publication, and to use Automated Actions (Section 5) with particular caution. Stroik Ops LLC reserves the right to require additional acknowledgments, restrict certain Automated Actions, or decline service for businesses in regulated categories where the risk of automated harm is, in our judgment, materially elevated.

7. Content Ownership

You retain ownership of all content you upload to the platform (photos, brand assets, text). AI Outputs created through the Service are licensed to you for your business use. You grant us a limited license to store, process, and display your content as necessary to provide the Service.

8. Acceptable Use

You agree not to use the Service to generate or distribute content that is illegal, defamatory, harassing, discriminatory, or that infringes on third-party intellectual property rights. You further agree not to use the Service to issue medical, legal, financial, or safety advice in violation of Section 6, to evade applicable advertising or marketing regulations, or to send unsolicited bulk communications in violation of CAN-SPAM, TCPA, GDPR, or similar laws. We reserve the right to suspend accounts that violate these guidelines.

9. Data Privacy & Cross-Agent Coordination

We collect and process data as necessary to provide the Service, including business information, brand assets, social media account connections, financial integrations, calendar and email data (where you have authorized those integrations), and usage data. The Service's agents may share signals and context with one another within your organization to coordinate (for example, an inbox-detected vendor email may surface in the Operations agent). Cross-agent coordination is internal to your organization's account and is not used to transfer data to other customers. We do not sell your data to third parties. 10. Third-Party Services

The Service integrates with third-party platforms including social media networks (Instagram, Facebook, LinkedIn, Google Business Profile, TikTok, X), payment processors (Stripe), accounting platforms (QuickBooks Online, Xero), email and calendar providers (Gmail/Google Workspace, Microsoft 365/Outlook), analytics providers (Google Analytics, Search Console), and AI providers (Anthropic, Replicate, and others). Your use of these integrations is also subject to those services' respective terms. We are not responsible for third-party service outages, deprecations, policy changes, or actions those platforms may take against your accounts.

11. Limitation of Liability

The Service is provided "as is" and "as available." We do not guarantee specific marketing results, engagement metrics, financial outcomes, hiring outcomes, regulatory compliance, or any other business outcome. Without limiting the foregoing, Stroik Ops LLC shall have no liability for: (i) AI Outputs that are inaccurate, biased, or otherwise unsuitable; (ii) actions taken or AI Outputs published through Automated Actions you have authorized under Section 5; (iii) consequences of relying on AI Outputs in any of the regulated contexts described in Section 6; (iv) third-party platform actions, account suspensions, or rate-limiting; or (v) data loss caused by third-party integrations or your own configuration choices. To the maximum extent permitted by applicable law, our total cumulative liability for any claim arising out of or relating to the Service shall not exceed the amount you paid Stroik Ops LLC for the Service in the twelve (12) months preceding the event giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits or lost business opportunity, even if advised of the possibility of such damages.

12. Indemnification

You agree to indemnify, defend, and hold harmless Stroik Ops LLC and its officers, employees, and agents from and against any and all third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) AI Outputs you approved, published, or distributed through the Service, including AI Outputs published through Automated Actions; (b) your violation of Section 6 (Industry-Specific Disclaimers) or Section 8 (Acceptable Use); (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party right. We will provide reasonable notice of any such claim and reasonable cooperation in the defense.

13. Termination

Either party may terminate this agreement at any time. Upon termination, your access to the Service will be revoked and scheduled content will not be published. You may request export of your data within 30 days of termination, after which we may delete your data in the ordinary course.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance. The current version number and last-updated date are shown at the top of this page.
